SUMMARY OF RESPONSIBILITIES

  • Assist the Head of Legal & Secretarial to manage all legal issues and risk of Payments Network Malaysia Sdn Bhd (“PayNet”) PayNet including administrative work within the Legal & Secretarial Department (“Department”) and assisting in improving or putting in place proper processes and standard operating procedures for the better governance of the Department within the organisation.
  • Assist the Head of Legal & Secretarial Department (“HOD”) to manage all legal affairs including legal risks of PayNet including administrative work within the Department and assisting in improving or putting in place proper processes and standard operating procedures for the better governance of the Department within the organisation (as & when required).
  • Any other tasks as assigned by the HOD.

KEY AREAS OF RESPONSIBILITIES

Drafting of Legal Documents

  • Draft and prepare legal documents as instructed, including conducting research, reviewing documents, and confirming facts and information. Coordinate and liaise with external lawyers if appointed to ensure seamless communication and effective legal support.

Review and Confirmation of Legal Documents

  • Review and confirm documents from a legal perspective upon request or instruction. This includes conducting research, reviewing documents, and confirming facts and information to safeguard PayNet's interests and manage any legal implications. If external legal counsels are appointed, manage them by coordinating and liaising with them to ensure effective legal support.

Legal Support to Internal Stakeholders

  • Provide comprehensive legal support and advice to internal stakeholders, assisting them in managing and mitigating legal risks associated with the company's operations.
  • Collaborate with cross-functional teams to resolve and advise on legal issues, ensuring the protection of the company's rights, interests, and liabilities.

Issuance of Legal Opinions

  • Draft and prepare legal opinions as instructed, including conducting research, interviewing, and reviewing documents. Coordinate and liaise with external lawyers if appointed to ensure effective legal support.

Administration / Functional

  • Execute all matters in relation to legal operations and legal works for PayNet and its subsidiaries in order to ensure observance of applicable governing documents and mandate.
  • Oversee the entire contracts management cycle, from initial request to final stamping, ensuring completion within the stipulated turnaround time.
  • Effectively manage communication with internal stakeholders for contract drafting and review tasks to ensure clarity and efficiency.
  • Attend all meetings with internal stakeholders as required for contract negotiations, ensuring effective communication and successful outcomes.
  • To attend to all matters as and when instructed by Head of Department and/or Management.

Other jobs and functions

  • Attend to the stamping of duly executed documents at the Stamp Office to ensure their perfection.
  • Manage and maintain the record-keeping system to ensure that the Legal and Secretarial team's files are easily accessible for reference. Ensure that contracts are updated in the contract repository in the Department's SharePoint.
  • Assist in analysing issues and proposing suitable legal and governance-related solutions on matters pertaining to the legal affairs and operations of PayNet and its subsidiaries, ensuring compliance with applicable laws.
  • Assist in organising and improving the processes and standard operating procedures (SOP) of the Department as required.
  • Attend to all matters as instructed by the Head of Department and/or Management, ensuring timely and effective execution of tasks.
  • Be aware of and uphold security responsibilities as stated in PayNet’s Information Security Policy.
  • Ensure that all information asset processing and day-to-day activities adhere to the company's Guidelines on Information Handling and Security Classification.
  • Develop and deliver awareness programs and materials for staff regarding relevant legal requirements.
  • Provide legal advice and counsel to staff on how to protect against risks related to the Information Security Policy, if any.
  • Periodically update policies and procedures to ensure compliance with legal requirements.

Enterprise Risk Management

General

  • Effectively understand and apply controls to manage key risks, providing suggestions for improvement wherever possible.
  • Promptly escalate risks and incidents to senior management in accordance with existing procedures.
  • Ensure compliance with relevant regulations, guidelines, and procedures.

On appointment as Primary/Alternate RCO

  • Proactively support the development, management, and prompt risk reporting of the Enterprise Risk Management and Business Continuity Management (BCM) Framework, Policy, and Procedures for the department/function, and sign off on all risk-related documentation.
  • Support the identification, monitoring, reporting, and implementation of compliance with relevant regulations and guidelines applicable to the department/function.

On appointment as Project Manager

  • Responsible for project management tasks, including planning, implementation, monitoring, and reporting of progress, risks, and issues.
  • Develop Requests for Proposal, evaluate submissions, and obtain necessary approvals for the award of tenders, where applicable.

QUALIFICATIONS

Minimum Qualifications

  • Possess a Degree in Law and a Professional Qualification as an Advocate and Solicitor.
  • A minimum of 3 years’ experience of post-qualification in commercial and corporate matters is required. Experience or knowledge in technology and intellectual property laws would be advantageous and favorably considered.
  • A Company Secretary Professional Qualification or license will be an added advantage, although not required.

Technical Qualifications

  • Knowledge of Microsoft Office, Microsoft Co-Pilot and Microsoft SharePoint are essential for efficient execution of assigned tasks.

Additional requirements

  • Ability to cooperate, work effectively in a team, and coordinate work activities with other divisions and departments.
  • Possesses strong verbal and written communication skills in both English and Bahasa Malaysia, along with excellent interpersonal skills.
  • Exhibits problem-solving, negotiation, and people-related skills.
  • Highly compliant, meticulous and attention to detail.
