JOB SCOPE:

  1. Support the Company Secretary(ies) in ensuring the Group’s compliance with the Companies
  2. Act 2016, Bursa Malaysia Listing Requirements, and Corporate Governance best practices.
  3. Supervising and reviewing the assignments of the junior team members.
  4. Assist the Company Secretary(ies) in corporate exercises.
  5. Take a leading role in annual corporate governance matters, specifically the Annual General Meeting (AGM) and the production of the Annual Report.
  6. Assists the Company Secretary(ies) in managing daily departmental operations.

PRIMARY DUTIES/RESPONSIBILITIES:

  1. Execute and manage all statutory filings and returns to the Companies Commission of Malaysia and other relevant authorities to ensure they are filed within the deadlines.
  2. Support, coordinate and attend meetings of the Board of Directors, Board Committees,shareholders and Management; and prepare minutes for review.
  3. Drafts and coordinate the timely release of announcements to Bursa Securities.
  4. Compile and verify the contents of the Annual Report.
  5. Prepares the necessary documentation and board resolutions for corporate exercises.
  6. Provide technical advice on corporate governance and secretarial practices to junior secretarial staff.
  7. Ensure the Group’s statutory registers are always updated.
  8. Perform other tasks as assigned by the Company Secretary(ies) when required.

REQUIREMENTS:

  1. Bachelor's Degree in Corporate Administration, Business Administration, Finance, or equivalent;
  2. Professional qualification (ICSA/MAICSA) is preferred.
  3. Minimum 5 years’ experience in company secretarial or corporate governance functions with exposure in public listed company environment.
  4. Good knowledge of Companies Act 2016, Bursa Malaysia Listing Requirements, and corporate governance prac tices.
  5. Good written and verbal communication skills in English; proficiency in Bahasa Malaysia is anadvantage.
  6. Strong attention to detail and good organisational skills.
  7. Proficiency in Microsoft Office applications and Google Workspace.
  8. Experience in managing sustainability initiatives will be an added advantage.
